Welcome to Webyooi. By engaging with our branding and web design services, you agree to the following Terms of Service. These terms outline our mutual expectations and protect both parties throughout the project.
1. Overview of Services
Webyooi, under Vanityads Creatives and Advertisements Pvt Ltd, provides branding and web design services globally. Our offerings include:
Branding (Logo, Brand Identity, Brand Strategy, Brand Story)
Web Design & Development (Custom Websites, SEO, Copywriting)
Growth & Maintenance (Ongoing design and performance optimization)
Webyooi does not offer standalone SEO services. SEO is included only in website design and maintenance plans.
2. Payment Terms
Project Payments:
A 50% upfront payment is required before project initiation.
The remaining 50% is due upon final delivery.
Refund Policy:
Due to the nature of our work, we do not offer refunds for completed services.
Late Payments:
If the final payment is delayed, a 10% late fee will be applied.
Projects will not be transferred to the client until the full payment is received.
3. Revisions and Project Scope
Unlimited Revisions Policy:
Webyooi offers unlimited revisions during the design phase only.
Once the project moves to development, further changes may incur additional charges.
Scope Creep and Additional Requests:
Any requests beyond the agreed scope may be chargeable or denied at our discretion.
4. Performance and Delivery Guarantees
30-Day Website Delivery Guarantee:
This guarantee applies to the Explosion Package only.
If Webyooi fails to deliver the website within 30 days due to its own delays, the client is eligible for a full refund.
If delays are caused by excessive revisions or client-side delays, the timeline will be extended accordingly.
90-Day Performance Guarantee (Conversion-Based):
If the website does not improve conversion rates within 90 days, Webyooi will continue working for free until it reaches the target.
This guarantee applies only to conversion optimization, not traffic growth.
5. Ownership and Portfolio Rights
Ownership of Final Website and Branding:
Upon full payment, the client receives full ownership of the final design and website.
Portfolio and Case Study Rights:
Webyooi reserves the right to showcase the project in its portfolio, marketing materials, or case studies unless the client requests confidentiality.
Third-Party Assets:
If third-party assets (such as stock images, fonts, or templates) are used, Webyooi will clarify licensing and ownership terms before implementation.
6. Liability and Disclaimers
Technical and Third-Party Liability:
Webyooi is not responsible for third-party hosting issues, security breaches, or content provided by the client.
The website is delivered fully functional, but Webyooi is not liable for any issues arising after delivery.
Post-Launch Support:
If an issue occurs after the final delivery, Webyooi will attempt to resolve it, provided it was not caused by client-side modifications.
SEO and Performance Disclaimer:
Webyooi implements SEO best practices, but search engine rankings depend on ongoing optimization and external factors beyond its control.
7. Support and Maintenance
Post-Launch Free Support:
Each project includes a free maintenance period of either one or two months, depending on the selected package.
This support covers bug fixes, minor updates, and performance optimization.
Long-Term Maintenance (Growth Plan):
After the free period, clients can subscribe to the Growth Plan ($2,000 per month) for:
Ongoing website updates and optimization
SEO improvements and technical fixes
Priority design requests
Final Handover Option:
If a client does not continue with the Growth Plan, Webyooi will provide:
A final website handover
Training on how to manage the site
8. Project Termination and Cancellation
Client-Initiated Cancellations:
If a client cancels a project mid-way, Webyooi will retain the 50% upfront payment as compensation for the work completed.
Clients may pause and resume the project within 60 days. If the project is not resumed within 60 days, it will be considered terminated, and a new contract will be required.
Webyooi-Initiated Termination:
Webyooi reserves the right to terminate a project if a client:
Violates payment terms
Requests work beyond the agreed scope without additional compensation
Engages in abusive or unethical behavior
In such cases, no refunds will be issued, and all project work remains Webyooi’s intellectual property until full payment is received.
9. Governing Law and Dispute Resolution
Webyooi operates under Indian laws but serves clients globally.
Any disputes shall first be resolved through mutual discussion. If unresolved, disputes will be handled under Indian jurisdiction.
10. Agreement to Terms
By engaging in services with Webyooi, the client acknowledges and agrees to these Terms of Service.
